Terms of Service

Please read these terms carefully before using Teacharo.

1. About these terms

These Terms of Service (Terms) are a legal agreement between you and Jannic Pty Ltd (ABN 15 636 808 538) (trading as Teacharo) (we, us, our, Teacharo). They govern your use of the Teacharo website at teacharo.com.au and the Teacharo platform and services (together, the Services).

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

If you are using the Services on behalf of a school or organisation, you represent that you have authority to bind that organisation to these Terms.

We may update these Terms from time to time. If we make significant changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after changes take effect means you accept the updated Terms.

2. Who can use Teacharo

To use Teacharo, you must:

  • Be at least 18 years old
  • Be a teacher, school staff member, or education professional
  • Create an account with accurate information
  • Keep your login credentials secure

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, please contact us immediately.

Teacharo is designed for use by educators, not students. You must not create accounts for or allow students to use your account. By using any features that involve student information, you represent that you are doing so in your professional capacity as a teacher or school staff member and in accordance with your school’s policies.

3. What Teacharo provides

Teacharo is an AI-powered assistant that helps teachers with administrative tasks. Features vary by plan type.

All plans include

  • Voice input for capturing tasks and thoughts
  • AI-assisted lesson planning and curriculum alignment
  • Drafting of parent communications and report comments
  • Task queue management

School Plans only

The following features are only available on School Plans, where the school has signed a Data Privacy Agreement with us:

  • Student context management (storing student names, learning needs, and observations)
  • Student-aware differentiation based on stored profiles
  • Incident documentation with student details
  • Report comments that reference specific student information

These features require the school to authorise the storage of student personal information. They are not available on Individual Plans.

AI-generated content

Teacharo uses artificial intelligence to generate content based on your inputs. You acknowledge that:

  • AI-generated content is provided as a draft for your review
  • You are responsible for reviewing and approving all content before use
  • AI-generated content may contain errors or inaccuracies
  • You should not rely on AI-generated content without review
  • Nothing is sent to students, parents, or third parties without your explicit approval

Curriculum information

Teacharo includes Australian Curriculum content descriptors. While we strive for accuracy, curriculum information may change. You should verify curriculum alignment for critical purposes.

4. Your responsibilities

When using Teacharo, you agree to:

Use the Services appropriately

  • Use the Services only for lawful educational purposes
  • Not use the Services to harm, harass, or discriminate against anyone
  • Not attempt to access other users’ accounts or data
  • Not reverse engineer, copy, or create derivative works of the Services
  • Not use the Services to develop a competing product
  • Not use automated tools to access the Services (except approved integrations)

Student information restrictions

Features that store student personal information (names, learning needs, observations, parent contacts) are only available on School Plans where the school has signed a Data Privacy Agreement.

If you are on an Individual Plan:

  • You must not attempt to store student personal information in Teacharo
  • You may use generic descriptors (such as ‘a student with dyslexia’) without identifying individuals
  • You are responsible for ensuring any content you create does not include student names or identifiable information

If you are on a School Plan with student data features enabled:

  • You must only enter student information in accordance with your school’s policies and the Data Privacy Agreement
  • You must ensure that information you enter is necessary for your use of the Services
  • You must keep student information accurate and up to date
  • Your use of student information is subject to your school’s authority and applicable privacy laws

Review AI outputs

You must review all AI-generated content before use. You are responsible for ensuring that content you share with students, parents, or colleagues is accurate and appropriate.

5. Your content

Ownership

You retain ownership of all content you create using Teacharo, including lesson plans, communications, and other materials. We do not claim ownership of your content. You can request an export of your content in a commonly used, machine-readable format. We will provide this within a reasonable time, subject to any legal or technical limitations.

Student information on School Plans

Where you enter student information under a School Plan, that information remains subject to the Data Privacy Agreement between Teacharo and your school. Your school retains authority over student information, and our handling of it is governed by that agreement.

Licence to us

By using the Services, you grant us a limited licence to store, process, and display your content solely to provide and improve the Services. This licence ends when you delete your content or account.

We do not use your content to train AI models. Your lesson plans, notes, and voice recordings are never used as training data. This applies to all plan types.

Responsibility for content

You are solely responsible for your content. You must not upload or create content that:

  • Infringes anyone’s intellectual property rights
  • Contains student personal information (unless you are on a School Plan with these features enabled)
  • Is defamatory, obscene, or unlawful
  • Contains malware or harmful code

6. Payment and subscriptions

Pricing

Current pricing is available on our website. Prices are in Australian dollars and exclude GST unless stated otherwise. We may change our prices with 30 days’ notice.

Billing

Subscriptions are billed in advance on a monthly or annual basis. Payments are processed securely by our payment provider (currently Stripe). We do not store your full payment card details.

Automatic renewal

Subscriptions renew automatically at the end of each billing period. We will charge the payment method on file unless you cancel before the renewal date.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods, except as required by law or as expressly provided in a separate agreement with us (such as a School Pilot Agreement). Nothing in this section limits your rights to a remedy under the Australian Consumer Law if the Services fail to meet the consumer guarantees. Your rights under the Australian Consumer Law cannot be excluded, restricted or modified by these Terms.

School subscriptions

Schools may purchase School Plans that include access for multiple staff members and enable student data features. If your school has a School Plan:

  • Your access may be provided through your school’s subscription
  • You may have access to student data features not available on Individual Plans
  • Your use is subject to both these Terms and any policies set by your school
  • If the school’s agreement ends, you may need to purchase an Individual Plan to continue (without student data features)

7. Free trials and promotions

We may offer free trials or promotional pricing from time to time. These offers are subject to specific terms provided at the time of the offer.

At the end of a free trial, you will be charged the applicable subscription fee unless you cancel before the trial ends.

8. Intellectual property

Our ownership

Teacharo, including the website, software, design, logos, and documentation, is owned by Jannic Pty Ltd or our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described here.

Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without any obligation to you. You grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose. If you are a School Plan user participating in a pilot program under a separate school agreement (such as a School Pilot Agreement), that agreement governs feedback you provide in connection with the pilot program, and this clause applies to your other feedback.

9. Disclaimers

To the maximum extent permitted by law:

No warranties

The Services are provided ‘as is’ and ‘as available’. While we use reasonable efforts to keep the Services available and secure, we do not promise that they will be uninterrupted or error-free, and we do not guarantee that any AI-generated content will be accurate, complete, or appropriate for every context. You remain responsible for reviewing and verifying all outputs before you rely on them.

To the extent permitted by law, and subject to the Australian Consumer Law and any rights that cannot be excluded, we do not make any additional express or implied warranties about the Services (including as to fitness for a particular purpose). Nothing in these Terms excludes, restricts, or modifies any consumer guarantees or other rights you have under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.

Educational tool only

Teacharo is an educational productivity tool. It is not a substitute for professional judgement, and you should not rely solely on AI-generated content for important decisions.

Curriculum information

While we strive to keep curriculum information accurate, we do not warrant that it is complete, current, or error-free. Curriculum requirements may change, and you should verify information for critical purposes.

Australian Consumer Law

Nothing in these Terms excludes or limits any consumer guarantees or other rights you have under the Australian Consumer Law or other laws that cannot be excluded or limited. Your rights under the Australian Consumer Law cannot be excluded, restricted or modified by these Terms.

10. Limitation of liability

To the maximum extent permitted by law:

Excluded losses

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

Liability cap

Our total liability for any claims arising from these Terms or your use of the Services is limited to the greater of:

  • The fees you paid to us in the 12 months before the claim arose; or
  • AUD $500

Exceptions

These limitations do not apply to liability that cannot be limited by law, including liability for fraud or wilful misconduct.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from:

  • Your breach of these Terms
  • Your use of the Services
  • Your content
  • Your violation of any law or third-party rights

12. Termination

By you

You can stop using the Services and delete your account at any time from your account settings.

By us

We may suspend or terminate your access to the Services if:

  • You breach these Terms
  • We are required to do so by law
  • We discontinue the Services (with reasonable notice where possible)
  • Your payment fails and is not resolved within a reasonable time

Except where immediate action is reasonably necessary to prevent harm, address a security or privacy risk, or comply with a legal obligation, we will give you written notice of any alleged breach and a reasonable opportunity (normally at least 14 days) to remedy it before suspending or terminating your access. Where we suspend your access for a remediable breach, we will lift the suspension promptly once the breach has been remedied to our reasonable satisfaction.

Effect of termination

When your account is terminated:

  • Your right to use the Services ends immediately
  • We will delete your data within 30 days (except as required for legal or accounting purposes)
  • You can request a copy of your data before termination
  • Provisions that should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply

13. General provisions

Governing law

These Terms are governed by the laws of Victoria, Australia. You agree to the non-exclusive jurisdiction of the courts of Victoria.

Entire agreement

These Terms, together with our Privacy Policy and any other agreements you enter into with us (such as a school subscription agreement), constitute the entire agreement between you and Teacharo.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

No waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment

You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.

Acceptable Use Policy

This Acceptable Use Policy is part of our Terms of Service and describes what you can and cannot do when using Teacharo.

Permitted uses

Teacharo is designed for use by teachers and school staff to:

  • Plan lessons and align to curriculum
  • Draft communications to parents and guardians
  • Document incidents and student observations
  • Write report comments
  • Manage administrative tasks
  • Differentiate learning for diverse students

You must also comply with your school or employer’s policies when using Teacharo, including any policies on privacy, acceptable technology use, and communications with students and parents.

Prohibited uses

You must not use Teacharo to:

Harm others

  • Harass, bully, or discriminate against any person
  • Create content that is defamatory, obscene, or unlawful
  • Impersonate another person or entity
  • Share personal information without appropriate authority

Bypass plan restrictions

  • Store student personal information on an Individual Plan
  • Attempt to access School Plan features without a valid School Plan subscription
  • Share School Plan login credentials with users not covered by the school’s agreement
  • Use workarounds to circumvent feature restrictions

Compromise security

  • Attempt to access another user’s account
  • Try to bypass security measures
  • Upload malware, viruses, or harmful code
  • Use automated tools to scrape or access data
  • Interfere with the operation of the Services

Misuse the platform

  • Use the Services for any unlawful purpose
  • Create accounts using false information
  • Share your account credentials with others
  • Resell or redistribute the Services
  • Reverse engineer or copy our software
  • Use the Services to build a competing product

Abuse AI features

  • Attempt to extract training data from AI models
  • Use the Services to generate harmful or misleading content
  • Bypass content filters or safety measures
  • Use AI outputs in ways that could harm students or others

Reporting violations

If you become aware of any violation of this Acceptable Use Policy, please report it to us at abuse@teacharo.com.au.

Consequences of violation

If you violate this policy, we may:

  • Warn you and ask you to stop the behaviour
  • Temporarily suspend your access
  • Permanently terminate your account
  • Report serious violations to appropriate authorities

We may take action at our discretion based on the severity and nature of the violation.
